Description:
ROLE PURPOSE:
Responsible for performing a variety of moderately complex legal support activities for Janus’ subadvised and institutional business, including assisting attorneys and more senior level staff with reviewing mutual fund registration statements and related documents, reviewing, preparing, drafting and processing investment advisory and sub-advisory agreements, other investment management-related contracts, RFPs, offering memoranda, communications, and other legal documents. Performs legal research, compiles related data, and assists in maintaining legal records, files, and databases. Mayprovide guidance and direction to lower level staff.
ESSENTIAL FUNCTIONS:
· Coordinating review of mutual fund prospectuses, statements of additional information, Sarbanes-Oxley certifications and related documents with various internal departments and communicating with external subadvised clients.
· Reviews and analyzes incoming investment advisory and sub-advisory agreements for subadvised and separately managed accounts, develops and drafts comprehensive legal and business contractual terms, and negotiates and coordinates the execution of new and amended agreements. Applies legal and institutional knowledge to minimize contractual risk.
· Works with sales and client relations teams to identify and address legal and business risks associated with external client relationships and to address external client requests.
· Reviews and assists with providing firm responses for RFPs.
· Prepares and drafts other legal and business communications as required.
· Performs legal research on complex issues and compiles data from a variety of sources.
· Executes policies and procedures that control, centralize, and streamline the contracting process.
· Coordinates contract execution, processing and file maintenance, including summarizing and tracking key contract terms, external client information, and performing contract follow- up activities as required.
· Assists in organizing and maintaining all legal department files.
· Provides moderately complex paralegal support for the department as needed.
· May provide guidance and direction to lower level staff.
OTHER FUNCTIONS: Assumes additional duties as requested or assigned.
